This document, along with any other referenced documents, governs your use of our platform (web and app), centred around the creation, listing, purchase, and redemption of non-fungible tokens. Kindly go through these terms meticulously before engaging with our platform. By accessing and using our Site, you agree to abide by these terms. If you disagree with any segment herein, please refrain from using our Site.
ABOUT TOKENEST
www.tokenest.app is a digital platform operated by Tokenest Technologies Ltd, registered in Cyprus, Driadon 1, 1st Floor, Office 107, 6041 Larnaca, Cyprus and with registration number HE452649 (“We”, “Us”, “platform”, ”Tokenest”).
Our platform facilitates the creation, listing & buying of media files saved as non fungible tokens.
SITE ACCESS
Access to Tokenest is granted on a provisional basis. We hold the right to alter, suspend, or discontinue our services without prior notice. We are not liable if our Site is unavailable for any duration.
Occasionally, access to specific areas of our Site may be limited to registered users.
Security is paramount. If provided or chosen by you, such as usernames or passwords, they must remain confidential. Breach of these terms may lead to account suspension.
It’s your responsibility to ensure a stable internet connection. Also, anyone using your internet connection to access our Site should be familiar with these terms.
YOUR ACCOUNT
By accepting our terms and conditions, we will create an account for you if you do not already have one and a wallet where any non fungible token you buy will be created and saved. The account details and login information will be emailed to you directly. You can close your account at any time.
We may share your details with the Creator of the token of your successful or attempted purchase. They may contact you directly.
INTELLECTUAL PROPERTY – CREATION, LISTING & PURCHASE
All intellectual property rights, especially pertaining to tokens created on our Site, belong to Us. All rights are reserved.
Users have permission to create tokens in line with our Terms and Conditions and view public listings. However, the replication, modification, or distribution of token representations or any content without explicit consent is prohibited.
Upon creating a token from your digital media on Tokenest, Creators agree to assign the ownership of the digital asset to Tokenest Technologies Ltd.
Creators warrant that they have all the necessary rights to the content they submit and that this content does not infringe any third party’s rights.
By creating a token on Tokenest you are hereby entering into a compliance agreement, thereby asserting that this content does not infringe upon our content guidelines, with enforceable penalties for violations.
By purchasing a token on Tokenest, the Buyer enters into an agreement to acquire a digital asset owned by Tokenest. Due to the nature of the product there is no ability to return or refund the transaction or digital asset upon successful payment and ownership transfer of the token to the Buyers wallet.
Upon successful completion of the transaction, Tokenest will transfer the ownership of the token to the Buyer.
Upon the sale of a token, the Creator will be issued a non fungible token representing their creation, which can be redeemed with Tokenest.
Breaching these terms will result in an immediate termination of your right to use our Site.
REDEEMABLE TOKEN – REDEMPTION
Only registered Creators on the platform who have acquired or been awarded a token representing a redeemable asset (Redeemable Token “RT”) are eligible for redemption.
To initiate a redemption, Creators must follow the specific redemption procedure outlined on our platform. Incomplete or incorrect submissions may result in delays or denial of redemption.
All redemption requests are subject to verification by Tokenest. We may request additional information or documentation to validate the authenticity of the token and the identity of the redeemer. Failure to provide such information within a stipulated time frame may result in the cancellation of the redemption.
Redeemable tokens have limitations such as expiration dates, geographical restrictions, or other specific terms. Creators are responsible for being aware of and adhering to these limitations.
Creators are responsible for any fees associated with the redemption.
Redeemable tokens are for personal / business use and not for resale. Redeemable tokens are non-transferable and must be redeemed by the original recipient. Any evidence of resale may result in the suspension or termination of the user’s account and the non agreement of Tokenest to redeem the RT.
In the event that a chargeback is initiated against a purchased creation on tokenest, the value of any RT generated in lieu of this will be affected by any loss of funds and associated costs.
Redemption requests may take up to 30 days (or as specified) to process.
CONTENT RELIABILITY
The Site may host descriptions, commentaries, or other materials related to NFTs. These are not endorsements and should not be relied upon as such. We disclaim liability from any trust placed on such content.
SITE UPDATES
The dynamic nature of the NFT market means our platform might undergo regular updates. We might temporarily suspend access or permanently modify sections. While we strive to provide current information, we do not guarantee the accuracy of all content at all times.
LIMITATION OF LIABILITY
We provide this platform ‘as is’. To the extent permitted by law, we exclude all implied conditions, warranties, representations, or other terms that may apply to our Site.
We are not responsible for loss or damage that might arise from using our platform, except in cases of gross negligence or intentional misconduct. In any event our liability is limited to €1,000 EUR.
We are not responsible for any loss, damage, or harm resulting from or in relation to our Services.
PRIVACY AND DATA
Our privacy policy elucidates how we handle and protect your personal data. By using our Site, you consent to such handling and assert the accuracy of your provided data.
MISUSE OF PLATFORM
Malicious activities, including the introduction of viruses or attempting unauthorised access, are prohibited. This includes any concerns due to the use of the platform, the flow of digital assets created and chargeback or refunds. This results in immediate termination of your access and potential legal action.
LINKING AND THIRD-PARTY CONTENT
You may link to our homepage as long as it’s fair, legal, and doesn’t damage our reputation. However, framing our Site or linking in a misleading manner is prohibited. We may also offer links to third-party sites for informational purposes only.
FORCE MAJURE
We are not liable for any failure to process redemption requests due to unforeseen events or circumstances beyond our control, such as natural disasters, war, strikes, or governmental restrictions.
GOVERNING LAW
Any disputes or claims arising from these terms, your use of our Site, a creation, listing or purchase on Tokenest shall first attempt to be resolved through amicable negotiations thereafter if not settled, under the exclusive jurisdiction of the Courts of Cyprus.
CHANGES TO THESE TERMS
We may occasionally update these terms. It’s your responsibility to check this page periodically to be aware of any changes.
